1. Scope

These terms govern everything supplied by ATLAS COMMERCE ONLINE LIMITED (“we”, “us”) to a client (“you”). Accepting a written proposal means accepting them.

One rule governs every order, without exception: the work is delivered first and paid for afterwards. No deposit, no advance and no staged payment is requested, whatever the amount. It means you never pay for something you have not received.

Two ways of starting exist, and they are not interchangeable:

  • Request a quote. The normal route, and the only one open to a client who has not commissioned anything yet. The scope, the price and the date are fixed in writing, the work is delivered, and the invoice follows.
  • Settle online. For the short pieces of work only, and only once they have been delivered. Article 8 describes it. Paying starts no work, creates no contract for a new service and confers no entitlement to a delivery.

Our services are offered to businesses. By accepting a proposal you confirm that you are contracting in the course of a trade or business and not as a consumer. We do not knowingly contract with consumers, and nothing on this site is an offer to do so.

2. Prices and currencies

Two currencies are offered: the euro, shown by default, and the Swedish krona, which the Client may select at the top of any page. Amounts are set separately in each currency and are not the result of any automatic conversion. The figure displayed is the figure quoted, in the currency selected.

The currency selected at the moment an order is placed is the currency of the contract, of the invoice and of any refund. It is recorded with the order and can no longer be changed once payment has begun.

Prices published on this site are entry prices for work quoted on request, and firm prices for the short pieces of work, whose scope is closed.

The firm price is the one in your written proposal, prepared once we understand the work, and it is the amount invoiced. Prices exclude VAT. Hong Kong levies none; where VAT is due in your country it is accounted for by you under the reverse charge.

Prices exclude VAT. Hong Kong levies none; where VAT is due in your country it is accounted for by you under the reverse charge. Invoices show the Client's VAT identification number and the statement required for the reverse charge, so that the Client's accountant can apply it without further correspondence. We will provide any residence or incorporation document a tax authority asks for.

Where the Client pays from an account held in a third currency, the rate and any charge are set by their own bank or card issuer, not by us.

Payment is by international bank transfer to the account shown on the invoice. Bank charges on your side are yours; ours are ours.

Prices shown for work quoted on request are entry prices, given so that you can judge an order of magnitude. The firm price is the one in your written proposal, prepared once we understand the work.

The short pieces of work are the exception: their scope is closed and the published price is firm for that scope. Anything beyond it is quoted separately before it is done, never invoiced afterwards as a surprise.

3. Proposal and formation of the contract

Every engagement is quoted in a written proposal setting out the scope, the price, the delivery time and what is excluded. The proposal is valid for thirty days. The contract is formed when we receive your written acceptance; acceptance by email counts as writing.

A short piece of work is quoted the same way, at its published price: you ask for it, you receive written confirmation of the scope and the date, and it is delivered before anything is invoiced.

The scope is exhaustive. Anything not listed in it is the subject of a further proposal and may move the delivery date.

4. Your obligations

You provide, in good time, the access credentials, API keys, exports, technical documentation and points of contact the work requires, and you name one person able to make technical decisions.

You warrant that you hold the rights to the data, systems and credentials you give us, and that you are entitled to have us work on them. You remain responsible for backing up the systems concerned before we touch them.

5. Delivery and payment

No deposit is requested and nothing is payable before delivery. The invoice is issued once the work has been delivered and is payable within fourteen days of issue. This applies to every engagement, whatever its size.

Delivery is by email or directly into the systems concerned, with the documentation another supplier would need to take the work on.

Delivery times run from the date we receive everything listed in article 4, not from the date of acceptance. Time is suspended while anything requested from you is outstanding, while a third-party system essential to the work is unavailable, and in the event of force majeure. We tell you in writing when this happens.

Between businesses, late payment entitles us to suspend other work in progress for the same client after written notice that has gone unanswered for fifteen days.

6. Acceptance, warranty and maintenance

You have fifteen days from delivery to report in writing anything that departs from the agreed scope. Faults we recognise are corrected free of charge. After that period the delivery is treated as accepted.

Corrective work beyond that period, further development and adaptation to a change made later by a third-party publisher are the subject of a separate agreement. Nothing renews automatically.

7. Rights in what we deliver

Rights in developments produced specifically for you transfer to you on payment in full, together with the documentation another supplier would need to take the work on. Until payment you hold a right of use that we may revoke if the invoice is not settled.

We keep ownership of our own pre-existing tools, libraries and components, and grant you a free, perpetual, worldwide licence to use them as part of what is delivered, for the purposes of your own business, on as many environments as you operate yourself, and to adapt them.

That licence does not permit you to resell or republish those components on their own, or to include them in a product whose substance is the component. Where one incorporates third-party code, that code remains subject to its own licence, listed with the files.

8. Settling a short piece of work online

Once a short piece of work has been delivered, you may settle it by card through this site instead of by bank transfer. This is a means of payment, not a point of sale. Paying starts no work and creates no contract for a new service.

Before paying you accept these terms and confirm, in a separate box that is never pre-ticked, that the payment settles work already delivered and that the item and amount shown match what was agreed. The wording accepted and the time it was accepted are stored with the order.

No consent to begin work before the end of a withdrawal period is requested here, and none would make sense: the work is already done.

A payment received without a corresponding delivery, or exceeding the amount actually due, is refunded in full to the same payment method, without your having to justify the request and at no cost to you.

Payment is processed by a licensed payment services provider. No card number is entered on this site and none is retained by us; we receive only the amount, the currency, the status and a reference.

9. Liability, confidentiality and governing law

We owe an obligation to work with reasonable skill and care. Between businesses, our liability is limited to the amount actually paid for the service in question and excludes indirect loss, in particular loss of data, revenue, customers or anticipated savings. These limits do not apply to fraud, to wilful misconduct, or to any liability that cannot lawfully be excluded — and they do not apply where the law says they cannot.

Each party keeps the other's confidential information confidential for five years after the contract ends. Credentials entrusted to us are held in an encrypted secrets manager and deleted when the engagement finishes.

These terms are governed by the laws of Hong Kong SAR. The courts of Hong Kong have exclusive jurisdiction over any dispute, and each party submits to that jurisdiction.

Before either party begins proceedings, both agree to set out the dispute in writing and to allow thirty days for it to be resolved. Most disagreements about integration work turn out to be disagreements about scope, and scope disputes are settled faster by reading the proposal together than by anything a court can do.

Nothing in these terms excludes a liability that cannot lawfully be excluded, or affects any mandatory protection you may have under the law of the country in which you are established.

10. Complaints

Complaints should be made in writing to info@theatlasautomations.com, or by post to ATLAS COMMERCE ONLINE LIMITED, Unit 903, 9/F, Cameron Commercial Centre, 458-468 Hennessy Road, Causeway Bay, Hong Kong.

We acknowledge every complaint within five working days and give a reasoned reply within thirty days.
